AURAXIO TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING AURAXIO. BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE AURAXIO.
1. ABOUT AURAXIO
Auraxio is a software-as-a-service (SaaS) platform that helps licensed real estate agents generate, deliver, and store buyer representation agreements. Auraxio is operated by [COMPANY LEGAL NAME] ("Auraxio," "we," "us," or "our").
Auraxio is a technology platform. It is not a law firm. It does not provide legal advice.
The agreements generated by Auraxio are based on publicly available information about applicable state and federal law. They are not a substitute for advice from a licensed real estate attorney. Agents are responsible for ensuring that any agreement they use complies with their brokerage's policies, their state licensing board's requirements, and the specific circumstances of each transaction.
2. ELIGIBILITY
To use Auraxio, you must:
2.1 Be at least 18 years of age.
2.2 Hold a valid, active real estate license in Texas, California, and/or Florida issued by the applicable state licensing authority (TREC, California DRE, or Florida DBPR).
2.3 Be authorized by your sponsoring broker to execute buyer representation agreements on behalf of your brokerage. Auraxio is not responsible for verifying your authority with your broker — that is your responsibility.
2.4 Have the legal capacity to enter into a binding contract in your jurisdiction.
By creating an account, you represent and warrant that you meet all of the above requirements. If your license lapses, is suspended, or is revoked, you must immediately stop using Auraxio and notify us at support@auraxio.com.
3. ACCOUNT REGISTRATION
3.1 Account Creation. You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of your account information and updating it when it changes.
3.2 Account Security. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at security@auraxio.com if you suspect unauthorized access to your account.
3.3 One Account Per Agent. Each individual agent may hold only one Auraxio account. Creating multiple accounts to circumvent the free tier limit or for any other reason is prohibited.
3.4 Account Responsibility. You are solely responsible for all agreements generated and sent from your account. Auraxio is not responsible for agreements sent using your credentials by anyone you share your login with.
4. THE AURAXIO SERVICE
4.1 What Auraxio Does. Auraxio provides:
- An AI-powered agreement generation engine that produces buyer representation agreement text based on your inputs and applicable state law requirements
- SMS delivery of agreements to buyers via Twilio
- A browser-based signing experience for buyers
- Permanent storage of signed agreements in a legal vault
- Expiry tracking and renewal alerts
- Email notifications for agreement events
4.2 What Auraxio Does Not Do. Auraxio:
- Does not provide legal advice or represent that any generated agreement is legally sufficient for your specific transaction
- Does not guarantee that any agreement will protect you from regulatory fines, commission disputes, or license sanctions
- Does not verify the identity of buyers who sign agreements
- Does not ensure that buyers have read or understood the agreement before signing
- Does not replace your obligation to follow your brokerage's policies and your state licensing board's requirements
- Does not file any documents with any government agency on your behalf
4.3 Agreement Content Responsibility. You are responsible for:
- Verifying that the compensation amount you enter is accurate
- Verifying that the buyer's name and phone number are correct before sending
- Reviewing the generated agreement text before sending it to any buyer
- Ensuring the agreement type (full representation, showing only, etc.) is appropriate for your relationship with the buyer
- Obtaining your sponsoring broker's approval for the form and content of agreements if required by brokerage policy
4.4 No Attorney-Client Relationship. Use of Auraxio does not create an attorney-client relationship between you and Auraxio or any of its personnel.
5. LEGAL DISCLAIMER — IMPORTANT
5.1 Not Legal Advice. Auraxio's agreement templates are generated based on publicly available legal requirements as of the date of generation. Real estate law changes frequently. Auraxio makes reasonable efforts to keep its templates current but DOES NOT WARRANT OR REPRESENT that any agreement generated will be legally compliant in all circumstances, will satisfy all applicable state or federal requirements, or will be sufficient to protect you in any specific transaction or dispute.
5.2 Agent Responsibility. You are solely responsible for:
- Determining whether a generated agreement is appropriate for use in your specific transaction
- Ensuring compliance with Texas Real Estate License Act (TRELA), California AB 2992 (Civil Code §1670.50), Florida Statute Chapter 475, and all other applicable laws
- Consulting a licensed real estate attorney when you have questions about any agreement
- Consulting your sponsoring broker before using any agreement
5.3 Consult a Lawyer. If you are unsure whether an agreement generated by Auraxio is appropriate for your situation, consult a licensed real estate attorney before using it. The cost of an attorney consultation is far less than the cost of a commission dispute or regulatory fine.
6. SUBSCRIPTION AND PAYMENT
6.1 Beta Access. Auraxio is currently in beta. All accounts have full access to all features at no cost during the beta period. No credit card is required.
6.2 Future Pricing. Auraxio is currently in beta and does not charge for access. Pricing information will be published when we launch our paid plans. Beta users will be notified in advance of any pricing changes and will receive a special founding member rate.
6.3 No Billing During Beta. No payment is collected during the beta period. No subscription is created. No credit card is required or stored.
7. ACCEPTABLE USE
7.1 Permitted Use. Auraxio may be used only:
- By licensed real estate agents for generating genuine buyer representation agreements
- In connection with legitimate real estate transactions
- In compliance with all applicable laws and regulations
- In compliance with your brokerage's policies
7.2 Prohibited Use. You may NOT use Auraxio to:
- Generate fraudulent, fictitious, or misleading agreements
- Impersonate another agent, broker, or real estate professional
- Enter false buyer information (name, phone number)
- Circumvent the free tier limit by creating multiple accounts
- Attempt to access, scrape, or extract data from the platform beyond your own account data
- Reverse engineer, decompile, or attempt to extract the source code of Auraxio
- Use Auraxio in any way that violates applicable law, including fair housing laws, real estate licensing laws, or consumer protection laws
- Transmit any malicious code, viruses, or disruptive content to the platform
- Use automated tools to interact with the platform without our express written permission
7.3 Fair Housing Compliance. You must use Auraxio consistently with all buyers regardless of race, color, national origin, religion, sex, familial status, disability, or any other protected characteristic under the Fair Housing Act or applicable state law. Selective use of Auraxio (requiring agreements from some buyers but not others) in a manner that discriminates based on any protected characteristic is strictly prohibited and constitutes grounds for immediate account termination.
7.4 Enforcement. We reserve the right to suspend or terminate any account that violates these acceptable use provisions, with or without notice, at our sole discretion.
8. INTELLECTUAL PROPERTY
8.1 Auraxio's Property. The Auraxio platform, including its software, design, user interface, code, trademarks, logos, and all content produced by Auraxio (excluding user-generated content), is owned by Auraxio and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any Auraxio-owned content without our express written permission.
8.2 Your Property. The agreement text generated from your inputs, the signed PDFs stored in your vault, and all buyer information you enter belong to you. Auraxio does not claim ownership of your agreements or your data.
8.3 License to Auraxio. By using the platform, you grant Auraxio a limited, non-exclusive, royalty-free license to store, process, and transmit your data solely as necessary to provide the service described in these Terms. We do not use your agreement content to train AI models. We do not use your data for any purpose beyond operating the service.
8.4 Feedback. If you provide feedback, suggestions, or ideas about Auraxio, you grant us the right to use that feedback without restriction or compensation to you.
9. THIRD-PARTY SERVICES
Auraxio integrates with third-party services including Twilio (SMS), Resend (email), Anthropic (AI), Supabase (database), PostHog (analytics), Sentry (error monitoring), and Dodo Payments (billing). Your use of Auraxio is subject to the terms and privacy policies of these third-party providers. Auraxio is not responsible for the practices, availability, or content of third-party services.
10. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
10.1 AURAXIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
10.2 AURAXIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
10.3 AURAXIO DOES NOT WARRANT THAT:
- The platform will be uninterrupted, error-free, or completely secure
- Any agreement generated will be legally compliant in your specific jurisdiction or transaction
- SMS messages will be delivered to all buyers
- The platform will be available at any particular time
10.4 YOU USE AURAXIO ENTIRELY AT YOUR OWN RISK WITH RESPECT TO THE LEGAL COMPLIANCE OF AGREEMENTS GENERATED.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
11.1 AURAXIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
- Regulatory fines imposed by TREC, California DRE, Florida DBPR, or any other licensing authority
- Lost commissions or fees
- License suspension or revocation
- Commission disputes with buyers
- Failed SMS delivery
- Data loss due to platform outages
- Any losses resulting from agreements generated by the platform
11.2 IN NO EVENT SHALL AURAXIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF:
- The total amount you paid to Auraxio in the THREE (3) MONTHS immediately preceding the event giving rise to the claim, OR
- ONE HUNDRED DOLLARS ($100.00 USD)
11.3 THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF AURAXIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Auraxio, its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
12.1 Your use of the Auraxio platform 12.2 Any agreement you generate, send, or use through Auraxio 12.3 Your violation of these Terms of Service 12.4 Your violation of any applicable law, including real estate licensing laws, fair housing laws, or consumer protection laws 12.5 Your violation of any third party's rights 12.6 Any claim by a buyer, seller, brokerage, or regulatory body arising from your use of agreements generated by Auraxio
13. TERMINATION
13.1 By You. You may terminate your account at any time by cancelling your subscription and emailing support@auraxio.com requesting account closure.
13.2 By Auraxio. We may suspend or terminate your account immediately and without notice if:
- You violate these Terms of Service
- We have reason to believe you are using Auraxio for fraudulent purposes
- Your real estate license is suspended or revoked (if we become aware of this)
- Your payment remains outstanding after reasonable collection attempts
- We are required to do so by law
13.3 Effect of Termination. Upon termination:
- Your access to the platform ceases immediately
- Your signed agreements are retained per our data retention policy (Section 4 of Privacy Policy)
- Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 10, 11, 12, 14, and 15
14. DISPUTE RESOLUTION
14.1 Informal Resolution. Before filing any legal claim, you agree to contact us at legal@auraxio.com and attempt to resolve the dispute informally. We will respond within 30 days. Most concerns can be resolved this way.
14.2 Governing Law. These Terms are governed by the laws of [STATE OF INCORPORATION], without regard to its conflict of law provisions.
14.3 Jurisdiction. For any disputes that cannot be resolved informally, you consent to the exclusive jurisdiction of the state and federal courts located in [STATE OF INCORPORATION].
14.4 Limitation Period. Any claim arising from these Terms must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred.
14.5 Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST AURAXIO.
15. GENERAL PROVISIONS
15.1 Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, ESIGN Disclosure, and Disclaimer, constitute the entire agreement between you and Auraxio regarding the platform.
15.2 Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
15.3 No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
15.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.5 Updates to Terms. We may update these Terms with 30 days' notice. Material changes will be communicated via email to active account holders. Continued use after the effective date of any update constitutes acceptance of the updated Terms.

16. SPECIFIC PLATFORM RULES
16.1 Agreement ID Format. Every agreement generated by Auraxio receives a unique ID in the format AUR-[YEAR]-[STATE]-[SEQUENCE] (e.g., AUR-2026-TX-00001). This ID is your reference number for any agreement-related inquiry.
16.2 Signing Link Behavior. The unique signing link sent to buyers remains accessible permanently so buyers can re-download their signed copy. The agent is responsible for not sharing the link with unauthorized parties.
16.3 No Re-Use of Signed Agreements. A signed agreement is specific to the buyer and transaction for which it was generated. You may not present a signed agreement as applying to a different buyer or property.
16.4 SMS Consent. By entering a buyer's phone number and sending an agreement, you represent that you have the buyer's consent to receive an SMS message from Auraxio on your behalf, or that applicable law permits such communication in the context of a real estate transaction.
16.5 Heartbeat System. Auraxio operates a database heartbeat system to keep our infrastructure active. This is an operational function and does not affect your data or agreements in any way.
